Terms of the agreement for installation services:

The agreement confirms that all duties and works shall be installed in accordance with current building regulations and legislations relating to the products and all MCS and RECC standards existing at the time. All works shall be carried out using PAT tested and or calibrated equipment and works shall be completed adhering to current Health and Safety legislation.

1. The Subcontract Agreement
This agreement is a subcontract binding the parties to ensure successful installation of the renewable system. All parties should carefully read the agreement, understanding and agreeing to all the contents. This agreement will commence on the date of signature and will continue in effect for a period of one (1) year or for the period of any incomplete work related to the renewable system installation, unless amended to establish a later expiration date by a written agreement signed by the parties. The subcontractor is responsible for works completed by its employees. These employees must hold the appropriate skills and qualifications. In the event that the installation does not meet MCS or RECC compliance or the quality standard expected from Nu-Heat, the installation will not be eligible for any available government incentives or MCS certification. Nu-Heat shall inspect installations completed by the subcontractor ensuring quality and compliance is met. If the Nu-Heat Engineer is not entirely satisfied with the installation, the system commissioning will not be completed until rectification work has been completed by the subcontractor (within 7 days of the commissioning visit) at the subcontractor’s cost. On successful completion of the system commissioning, Nu-Heat will assume full responsibility of the renewable system installation, this does not preclude the subcontractor’s responsibilities as set out in clause 10 of this subcontract.

2. Scope of work
In consideration of the sum of £1 (receipt of which is hereby acknowledged) the subcontractor agrees to carry out all areas of the system installation and services relating to the renewable system in strict accordance with MCS standards and rules, the RECC and the detail contained in this agreement. The subcontractor must keep it and its employees involved in the installation fully aware and up-to-date with the MCS standards and rules and the RECC in place from time-to-time during the term of this agreement. Any additional works not included in the quotation but agreed to between the subcontractor and customer (e.g., installation and commissioning of boiler, underfloor heating and cylinder, installation of refrigerant pipework, installation of radiator system, additional plumbing works associated with, but not limited to, other areas of the project) must be detailed and paid for outside of this agreement. Nu-Heat will be responsible for the design and supply to the customer of the renewable system, production of system specific drawings, including commissioning, mechanical drawings and providing any further manufacturers information available at the time of the project. It is the installer’s responsibility to ensure the Nu-Heat MCS Customer Handover pack is available and onsite at the time of the commissioning visit. Details of the renewable installation work shall be provided to the customer, in writing, by Nu-Heat in accordance with the RECC. All Electrical work must be carried out by the subcontractor in accordance with current building regulations and relevant legislation.

Electrical installation scope of works (delete this section if not applicable) The subcontractor agrees to carry out all works listed below (this list is not exhaustive) in accordance with this agreement: • The subcontractor shall hold all current electrical qualifications and be a member of a Competent Person’s Scheme to enable them to notify their work through Building Control • Install all electrical control equipment detailed on Nu-Heat’s 1st and 2nd fix electrical drawings using the appropriately sized and rated cables • The installation must be of a high standard using clips trunking fused switches, isolators and cable retention methods • All sensor cables must also be installed prior to commissioning taking place by a Nu-Heat Engineer • Advise the local Distribution Network Operator (DNO) e.g. Western Power of the intention to fit a heat pump and complete the relevant DNO forms as requested and provide Nu-Heat with confirmation with this signed subcontract agreement.

Electrical installation scope of works
The subcontractor agrees to carry out all works listed below (this list is not exhaustive) in accordance with this agreement: • The subcontractor shall hold all current electrical qualifications and be a member of a Competent Person’s Scheme to enable them to notify their work through Building Control • Install all electrical control equipment detailed for the system on Nu-Heat’s 1st and 2nd fix electrical drawings using the appropriately sized and rated cables • The installation must be of a high standard using clips trunking fused switches, isolators and cable retention methods • All sensor cables must also be installed prior to commissioning taking place by a Nu-Heat Engineer • Advise the local Distribution Network Operator (DNO) e.g. Western Power of the intention to fit a heat pump and complete the relevant DNO forms as requested and provide Nu-Heat with confirmation with this signed Subcontract Agreement The electrical contractor must sign this subcontract agreement (section 14) for the scope of works listed above.

GSHP (Ground Source Heat Pump) installation scope of works (delete this section if not applicable) The subcontractor agrees to carry out all works listed below (this list is not exhaustive) in accordance with this agreement: • The placement of the Heat Pump on a suitably flat and structurally load-bearing base • Supply and connection of all hard copper pipework in accordance with Nu-Heat’s Design Documentation and pipe size recommendation for the Heat Pump, mains pressure domestic hot water cylinder, buffer tank and associated controls • All pipework must be installed neatly with adequate pipe support clips and brackets and where applicable sufficient space for metering equipment • In accordance with building regulations and Nu-Heat guidelines, insulate pipework and sleeve / seal relevant pipework that passes through walls • Filling and flushing of all components both on the potable and non-potable sides of the system (add corrosion protection inhibitor to the correct ratio for the non-potable side of the system) • Notification through a Competent Persons Scheme or through Building Control of the Heat Pump Installation, Part L Energy Efficiency, and Part G Domestic Hot Water Cylinder GSHP collector array pipework/borehole (delete this section if not applicable) The subcontractor agrees to carry out all works listed below (this list is not exhaustive) in accordance with this agreement: The subcontractor’s quotation must clearly state which ground works are to be carried out by a borehole or ground works contractor. These works must be covered by a separate subcontract agreement and signed by the subcontractor and the Ground Worker specialist and must include terms equivalent to those in this agreement to ensure compliance by such specialist with the relevant MCS and RECC rules and standards. The ground collector or borehole must be filled and flushed with clean water and held to pressure for a minimum of 24 hours before system commissioning and inspection of the renewable installation. In accordance with Nu-Heat’s Design Documentation and specification for ground loops or boreholes, the Nu-Heat qualified Engineer will exchange the water for pre-mixed antifreeze during their visit.

ASHP (Air Source Heat Pump) installation scope of works (delete this section if not applicable) The subcontractor agrees to carry out all works listed below (this list is not exhaustive) in accordance with this agreement: • The subcontractor must provide all relevant measurements to enable Nu-Heat to carry out the MCS020 calculation to ensure correct positioning of the ASHP. The subcontractor and homeowner are responsible for ensuring that the installation complies with the Town & Country Planning Act in relation to Permitted Development rights. Where the installation does not fall within Permitted Development rights, the homeowner must apply directly to their local Planning Authority for planning permission. Dual heat pumps and listed properties or those in an AONB will require local planning approval. • Placement of the ASHP (Air Source Heat Pump) on a suitably flat load bearing base, incorporating adequate drainage to take away water resulting from the defrost cycle • Supply and connection of all hard copper pipework in accordance with Nu-Heat’s Design documentation and pipe size recommendation for the Heat Pump, mains pressure domestic hot water cylinder buffer tank and associated controls • All pipework shall be installed neatly with adequate pipe support clips and brackets and where applicable, sufficient space for metering equipment • In accordance with building regulations and Nu-Heat guidelines, insulate pipework and sleeve / seal relevant pipework that passes through walls • Filling and flushing of all components both on the potable and non-potable sides of the system (add corrosion protection inhibitor to the correct ratio for the non-potable side of the system) • Notification through a Competent Persons Scheme or through Building Control of the Heat Pump Installation, Part L Energy Efficiency, and Part G Domestic Hot Water Cylinder

Solar thermal installation scope of works (delete this section if not applicable) The subcontractor agrees to carry out all works listed below (this list is not exhaustive) in accordance with this agreement: • The in-roof or on-roof system shall be installed by the subcontractor in accordance with all relevant MCS standards, building regulations, installation instructions and Nu-Heat’s mechanical drawings • All solar pipework shall be either hard copper or pre-insulated flexible stainless steel using high temperature solder or proprietary solar compression fittings. This pipework shall be appropriately insulated, supported and adequately clipped in position between the panels and solar control station. Due to potential high running temperatures, no form of plastic pipe can be used on any part of the solar system • The subcontractor is responsible for installing all the relevant solar thermal heating components supplied, including but not limited to, solar panels, fixing kit, roof mounted or flashing kit, flow and return pipework between the panel solar station and solar thermal domestic hot water cylinder, all solar controls, pump control station and associated sensor cables for the roof panels and solar cylinder sensor wires • The correct method of safety discharge must be observed • Notification through a Competent Persons Scheme or through Building Control of the Heat Pump Installation, Part L Energy Efficiency, and Part G Domestic Hot Water Cylinder

3. Definition of work
3.1 “Subcontractor” means an individual or company that has signed this agreement and shall be responsible for performing all areas of the renewable system installation in accordance with relevant, current MCS and RECC standards alongside Nu-Heat’s documentation. 3.2 “RECC” means the Renewable Energy Consumer Code as amended and updated from time to time, currently sponsored by the Renewable Energy Association. 3.3 “Design Documentation” means a set of system specific drawings produced by Nu-Heat in-line with MCS standards, detailing the completed system installation including CAD’s, mechanical drawings, installation requirements and any other manufacturer’s information available at the time of the project. 3.4 “MCS” means the Microgeneration Certification Scheme, supported by the Department of Energy and Climate Change as amended and updated from time to time. 3.5 ”MIS” means the Microgeneration Installation Standards issued pursuant to the MCS. 3.6 “PAT” mean portable appliance testing. 3.7 “Commissioning” means a Nu-Heat qualified Engineer ensuring the renewable system operates within the boundaries and conditions of Nu-Heat’s Design Documentation, the product manufacturer’s details and relevant MCS standards. 3.8 “Handover” means following satisfactory system Commissioning a Nu-Heat qualified Engineer will discuss the basic operation of the system and explain the contents of the handover pack, formally handing over to the customer.

4. Compliance
Works shall be completed by the subcontractor in accordance with MIS 3005, MIS 3001 and RECC standards and with Nu-Heat’s Design Documentation. Nu-Heat abides by the consumer code and offers a high standard of customer service, to all customers, before, during and after the installation.

5. Notification of work to Building Control, competencies & training
In signing this agreement the subcontractor assumes responsibility to produce a Domestic Electrical Installation Certificate in accordance with BS 7671 detailing the schedule of items inspected and tested and must be qualified to Part P standard. [Delete this sentence if not applicable].
In signing this agreement the subcontractor shall be qualified to NVQ Level 2 (or equivalent) in Plumbing & Heating, G3 Unvented Hot Water Storage Systems, Water Supply (Water Fittings) Regulations 1999 and Energy Efficiency (Part L) and assumes responsibility to notify Building Control of the system installation under Part L and Part G of the building regulations, either through Building Control or membership of a competent persons scheme.
The subcontractor is responsible for attending specific training to ensure all skills and qualifications are current and in-line with legislation confirming level of competency and skill. Evidence of the subcontractor’s skills and training must be detailed in section 14 of this signed subcontract and made available to Nu-Heat upon request.

6. Health & safety
The subcontractor must understand and abide by current Health & Safety legislation when installing systems, including but not limited to, CoSHH, Working at Heights and Manual Handling. A current CSCS (Construction Skills Certificate Scheme) card showing compliance to Health & Safety should be available to Nu-Heat upon request.
All relevant equipment must be regularly PAT tested and or calibrated and approved for use on site, evidence of this must be available upon request.

7. Insurance
The subcontractor shall have current Public (and where applicable) Employers Liability Insurance. The subcontractor shall maintain, at its own expense, full and comprehensive public liability insurance of an adequate value (minimum of £2 million pounds) to cover costs, damages and fees relating to any claims arising from the project. Evidence of the subcontractors insurance must be provided with this signed subcontract agreement.

8. Time of completion
The subcontractor shall comply with the timescale of completion of work detailed in the Schedule to this agreement. Any changes made to the timescale must be agreed by the parties.

9. Payment terms
Works carried out under this agreement shall be completed at the costs agreed between the parties and the customer and clearly detailed on the subcontractor’s quotation. The subcontractor shall invoice the customer directly for the agreed installation costs.

10. Warranty
Nu-Heat is responsible for providing the customer with a Workmanship Warranty. The renewable system will be registered with QNAW once the system delivery is agreed. This certificate will be issued directly to the customer and will cover the workmanship of the installation. Over and above the system manufacturer’s warranty and any workmanship warranty, all subcontractors agree to provide a 24 month defects liability warranty to cover the work carried out by them the benefit of which Nu-Heat will make available to the customer.

11. Commissioning & inspection
Nu-Heat’s Commissioning Request form can be located in the Handover pack (Commissioning section). This form shall be completed in full by the subcontractor and returned to Nu-Heat. System installations will be inspected and commissioned by a qualified Nu-Heat Engineer in conjunction with the Design Documentation. If required, the subcontractor shall be present at the time of the Commissioning and inspection visit. During the visit the Nu-Heat Engineer shall detail any work not installed to the required standards, these will include, but are not limited to, the mechanical and electrical installation. In the event of any non-conformities located at inspection, Nu-Heat reserves the right not to commission the system. Nu-Heat shall provide details of any non-conformities and methods of remedy. All rectification work must be completed by the subcontractor (within 7 days of the commissioning visit). All costs associated with rectification work will be covered by the subcontractor. Nu-Heat shall charge the subcontractor for any additional inspection visits required in order to complete the Commissioning. The Commissioning and inspection process will not be signed-off and completed until Nu-Heat is satisfied with the works on site. Failure to rectify faults located during the Commissioning and inspection visit will be deemed as a breach of this agreement and Nu-Heat UK Ltd will therefore not issue any MCS certificates or guarantees until works have been finished, this could also affect the homeowners eligibility for government funding.

12. Indemnity
The subcontractor shall indemnify and hold Nu-Heat harmless from all claims and all direct, indirect or consequential liabilities (including loss of profits, loss of business, depletion of goodwill and similar losses), costs, proceedings, damages and expenses (including legal and other professional fees and expenses) awarded against, or incurred or paid by Nu-Heat as a result of or in connection with any claim made against Nu-Heat in respect of any liability, loss, damage, injury, cost or expense sustained by Nu-Heat’s customer to the extent that such liability, loss, damage, injury, cost or expense was caused by, relates to or arises from the provision of the installation services as a consequence of a breach or negligent performance or failure or delay in performance of this agreement by the subcontractor.

13. Governing law & jurisdiction
This agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this agreement.

14. Acceptance
The subcontract agreement has been produced in-line with MCS standards and RECC (Renewable Energy Consumer Code).
All the works described within this subcontract agreement are to be carried out in strict accordance with:

• Manufacturer’s instructions and guidelines available at the time.
